Terms of Service

Welcome to WROPEN. These Terms of Service ("Terms") govern your access to and use of the WROPEN mobile application and website (collectively, the "Platform"), operated by WROPEN Inc. ("WROPEN," "we," "our," or "us"). By creating an account or using the Platform, you agree to these Terms.

1. The Platform

WROPEN is a marketplace that connects homeowners and commercial property managers ("Customers") with independent home service professionals ("Providers"). WROPEN does not employ Providers and is not responsible for the quality, safety, or legality of the services they perform. WROPEN is a technology platform, not a contractor or service provider.

2. Eligibility

You must be at least 18 years old and legally able to enter into contracts to use the Platform. By using WROPEN, you represent that you meet these requirements. Business accounts must be authorized representatives of the company they register.

3. Account Responsibilities

• You are responsible for maintaining the confidentiality of your account credentials
• You must provide accurate and current information when creating your account
• You are responsible for all activity that occurs under your account
• You must notify us immediately of any unauthorized access at support@wropen.com
• One person or entity may not maintain more than one active account without our written permission

4. Lead-Based Pricing for Providers

Provider participation in WROPEN is governed by a lead-based payment model:

• Free visibility: Provider profiles are visible to customers on the map at no cost
• Lead unlock fee: When a Provider chooses to unlock a specific customer job lead, a fee is charged to their payment method on file
• No subscription required: There are no monthly subscription fees to maintain an active profile
• Lead fees are non-refundable once a lead has been unlocked and contact information has been shared, except in cases of verified platform error
• Lead fees are set by WROPEN and may be updated with 30 days' notice
• Emergency and commercial leads may carry a different fee than standard leads

5. Provider Obligations

Providers who use WROPEN agree to:

• Hold all required licenses, permits, and insurance for services offered in their state
• Accurately represent their qualifications, experience, and services
• Respond to accepted leads in a timely manner
• Treat customers professionally and complete jobs as agreed
• Not solicit customers to pay outside the platform to avoid lead fees
• Submit to WROPEN's verification process, including license and insurance checks

6. Customer Obligations

Customers who use WROPEN agree to:

• Provide accurate job descriptions and service addresses
• Be present or available when a Provider arrives for a scheduled job
• Not solicit Providers to bypass the platform for future bookings within 12 months of a WROPEN-facilitated introduction
• Leave honest and factual reviews based on actual service experiences

7. Payments

All payments are processed by Stripe, Inc. By adding a payment method, you agree to Stripe's Terms of Service. WROPEN does not store full payment card details. Providers receiving payouts through WROPEN are subject to Stripe's identity verification requirements.

8. Prohibited Conduct

You may not use WROPEN to:

• Post false, misleading, or fraudulent information
• Harass, threaten, or discriminate against other users
• Attempt to circumvent the platform's payment system
• Scrape, copy, or redistribute content from the platform without permission
• Introduce malware or interfere with the platform's operation
• Create fake reviews or manipulate the rating system
• Use the platform for any unlawful purpose

9. Reviews and Content

By submitting reviews, photos, or other content to the platform, you grant WROPEN a non-exclusive, royalty-free license to display that content on the platform. You represent that your content is accurate and does not infringe any third-party rights. WROPEN may remove content that violates these Terms at its sole discretion.

10. Termination

WROPEN may suspend or terminate your account at any time for violation of these Terms, fraudulent activity, or conduct harmful to other users or the platform. You may close your account at any time through Settings → Privacy → Delete Account. Outstanding lead fees remain due upon termination.

11. Disclaimers

THE PLATFORM IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WROPEN DOES NOT GUARANTEE THE QUALITY, SAFETY, OR SUITABILITY OF ANY PROVIDER OR SERVICE. YOUR USE OF THE PLATFORM AND ANY SERVICES ARRANGED THROUGH IT IS AT YOUR OWN RISK.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WROPEN'S TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO WROPEN IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) $100. WROPEN IS NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES.

13. Governing Law

These Terms are governed by the laws of the State of Florida, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts of Hillsborough County, Florida, or through binding arbitration as agreed by both parties.

14. Changes to These Terms

We may update these Terms periodically. We will notify you of material changes via push notification or email at least 14 days before they take effect. Continued use of the platform after that date constitutes your acceptance of the updated Terms.
